IPANEL SYSTEMS (IPS) INC.
LIMITED PRODUCT WARRANTY
1. LIMITED WARRANTY
IPANEL SYSTEMS (IPS) INC. ("IPS") warrants that its products shall be free from defects in materials and workmanship under normal use and service for a period of twenty-four (24) months from the date of shipment to the original purchaser ("Warranty Period").
During the Warranty Period, IPS shall, at its sole option, repair, replace, or provide credit for any product determined by IPS to be defective due to defects in materials or workmanship.
2. WARRANTY CLAIM PROCEDURE
The purchaser shall notify IPS in writing of any claimed defect within the Warranty Period and obtain a Return Material Authorization (RMA) number prior to returning any product.
Products returned without an RMA number may be refused.
The purchaser shall provide sufficient information regarding the nature of the failure, operating conditions, and installation details to allow IPS to evaluate the claim.
3. EXCLUSIONS
This warranty does not apply to defects or failures resulting from:
a. Improper installation, operation, maintenance, or storage;
b. Abuse, misuse, neglect, accident, contamination, or environmental damage;
c. Unauthorized modification, alteration, repair, or disassembly;
d. Operation outside published specifications;
e. Damage caused by electrical surges, improper voltage, electrostatic discharge (ESD), or external equipment;
f. Normal wear and cosmetic deterioration that does not affect product functionality.
4. THIRD-PARTY COMPONENTS
IPS products may contain components manufactured by third parties. Such components are covered only to the extent of the original manufacturer's warranty, if any.
IPS will use commercially reasonable efforts to assist customers in processing warranty claims with third-party component suppliers but assumes no obligation beyond the remedies stated herein.
5. WARRANTY REMEDY
The remedies stated in this warranty are the purchaser's sole and exclusive remedies.
IPS' maximum liability under this warranty shall not exceed the original purchase price of the affected product.
6. DISCLAIMER OF OTHER WARRANTIES
EXCEPT AS EXPRESSLY PROVIDED HEREIN, IPS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL IPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF REVENUE, LOSS OF PROFITS, AIRCRAFT DOWNTIME, REMOVAL OR REINSTALLATION COSTS, TESTING COSTS, OR PROCUREMENT OF SUBSTITUTE PRODUCTS.
8. SHIPPING
The customer shall be responsible for shipping products to IPS for warranty evaluation.
IPS shall pay reasonable return shipping costs for products determined by IPS to be covered under warranty. Products found not to be covered under warranty may be returned at the customer's expense.
9. GOVERNING LAW
This warranty shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
10. ENTIRE WARRANTY
This Limited Warranty constitutes the entire warranty provided by IPS and supersedes all prior oral or written representations regarding product warranty coverage.
